2. Service Description

2.1 What We Provide

Finpilo receives your documents by email, upload, API and other channels offered in the Service, stores them, extracts and structures information such as supplier and customer details, line items, amounts, dates, payment details and tax information, and lets you review, approve and pass this information to your other systems. The functionality is described in the Documentation and in the Portal.

2.2 Service Availability

We will use commercially reasonable efforts to provide the Service on a continuous basis. However, unless expressly agreed in a Service Order, we do not guarantee any specific uptime, service levels, processing speeds, response times or uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, security measures, third-party provider issues or circumstances beyond our reasonable control.

2.3 Planned Maintenance

We may schedule planned maintenance from time to time. Where reasonably practicable, we will use reasonable efforts to notify you of planned maintenance at least forty-eight (48) hours in advance by email, through the Portal or by other reasonable means.

2.4 Support

We provide support through the support channels specified on our website, in the Portal or in the applicable Service Order. Unless expressly agreed otherwise, we do not commit to specific response or resolution times. Support does not include manual correction of AI Outputs, accounting review, tax advice, legal advice, custom development, integration work or support for Customer Environment issues, unless expressly agreed in a Service Order.

2.5 Onboarding Services

If you want us to set up the Service for you, including workflows, integrations, data import or training, the scope, expected hours, fees and payment terms are agreed in a Service Order. Onboarding Services are not part of a Plan purchased in the Portal. These Terms apply to Onboarding Services to the extent the Service Order does not provide otherwise.

2.6 Service Modifications

We may modify, update, improve or discontinue features of the Service from time to time. We will provide reasonable prior notice of material changes that negatively affect your use of the Service, unless the change is required for security, legal, third-party provider or urgent operational reasons.

2.7 Customer Environment and Third-Party Systems

You are responsible for your Customer Environment, including the systems you connect to the Service and the data the Service sends to them on your instructions. We are not responsible for failures, delays, errors, data loss, security incidents, integration issues or unavailability caused by the Customer Environment, third-party systems controlled by you, incorrect permissions, unavailable APIs, changes to third-party platforms or incomplete, inaccurate or delayed information provided by you.

3. AI Technology, Outputs and Use Restrictions

3.1 AI-Assisted Processing

The Service uses artificial intelligence and machine learning technologies to assist with extraction, classification, structuring and processing of financial document data. AI-assisted processing may produce inaccurate, incomplete, inconsistent or unexpected results.

3.2 No Advice

The Service is intended to assist with extraction and processing of financial document data. It does not provide legal, tax, accounting, audit, investment, payment or financial advice. You remain responsible for reviewing, validating and approving all AI Outputs before using them for accounting, tax, payment, reporting, compliance or other business purposes.

3.3 Customer Review and Validation

You must implement appropriate review, approval and validation procedures before relying on AI Outputs. You are solely responsible for decisions, actions, omissions, filings, payments, reports or business processes based on AI Outputs or other data processed through the Service.

3.4 No Warranty on AI Accuracy

We do not warrant or guarantee that AI Outputs will be accurate, complete, consistent, suitable for your intended purpose or error-free. AI-related inaccuracies, omissions or inconsistencies are inherent to AI-assisted processing and do not, by themselves, constitute a defect, breach of these Terms or failure of the Service.

3.5 AI Errors and Support

AI extraction errors are not, by themselves, support issues or service defects, and Credits used for a document are not returned because of them. This does not limit our obligation to provide support for reproducible technical issues affecting the operation of the Service in accordance with the applicable support terms.

3.6 Restrictions on Use of AI Outputs

You must not use the Service or AI Outputs as the sole basis for decisions that produce legal effects or similarly significant effects for individuals, or for any high-risk AI use case, unless such use has been expressly agreed in writing and the parties have agreed the applicable compliance requirements.

3.7 No Circumvention

You must not use the Service in a manner that attempts to circumvent Credit charges, usage limits, Trial limits, security controls, validation mechanisms or restrictions set out in these Terms, the applicable Service Order or the Documentation.

4. Workspace and Use

4.1 Workspace

Your Workspace is created when a User of your organisation signs up in the Portal. You must provide accurate, complete and up-to-date information, including billing details, and keep it up to date.

4.2 Authorised Users

You may authorise Users to access and use the Service under your Workspace and decide which roles and permissions they hold, including who may spend money on your behalf. You are responsible for all activities conducted by your Users, including Credit usage and purchases, and must ensure that your Users comply with these Terms, the applicable Service Order and the Documentation.

4.3 Account Security

You are responsible for maintaining the confidentiality and security of account credentials, access rights, API keys and authentication methods. You must promptly notify us of any unauthorised access to your Workspace, compromise of credentials or suspected security incident affecting your use of the Service.

4.4 Prohibited Use

You must not, and must not allow Users or third parties to:

  • use the Service for any illegal purpose or in violation of applicable laws;
  • upload, submit or process content that infringes third-party rights or is unlawful, harmful, fraudulent, misleading or malicious;
  • upload malicious code, viruses, malware or harmful content;
  • attempt to gain unauthorised access to the Service, our systems or other customers' data;
  • interfere with, disrupt, damage, overload or impair the Service or related systems;
  • reverse engineer, decompile, disassemble or attempt to discover the source code, underlying models, algorithms or non-public architecture of the Service, except to the extent such restriction is prohibited by applicable law;
  • copy, modify, create derivative works of, rent, lease, sublicense, resell or commercially exploit the Service except as expressly permitted by us;
  • use the Service to develop or improve a competing product or service;
  • share account credentials with unauthorised third parties;
  • create multiple Workspaces to obtain additional Trials;
  • make excessive API calls or requests or otherwise use the Service in a manner that unreasonably burdens our systems.

4.5 Customer Compliance

You are responsible for using the Service in compliance with all laws, internal policies and regulatory requirements applicable to you, including any requirements arising from your industry, jurisdiction, regulated status, accounting, tax, audit, payment, reporting or compliance obligations. We are not responsible for determining whether the Service, AI Outputs or your use of the Service satisfy any legal, regulatory, internal policy or industry-specific requirements applicable to you, unless expressly agreed in a Service Order.

5. Trial

5.1 Trial Terms

We may offer a free Trial of the Service. The length of the Trial and the Credits included are shown in the Portal when you sign up. No payment card is required. One Trial is available per organisation.

5.2 End of Trial

When the Trial ends without a Plan, the Workspace stops receiving new documents and you can still view and export your Customer Data as described in Section 7.11. Unused Trial Credits expire at the end of the Trial and have no cash value. If you select a Plan during the Trial, it starts when the Trial ends or earlier when your Trial Credits run out.

5.3 Trial Without Warranty

During the Trial the Service is provided free of charge and "as is". Sections 9.2 and 9.3 apply to the Trial with the difference that our total aggregate liability for the Trial does not exceed one hundred euros (EUR 100), to the extent permitted by applicable law. We may end or change a Trial at any time.

6. Pricing, Credits and Payment

6.1 Fees

The Fees are the prices shown in the Portal at the time of purchase or specified in the applicable Service Order. All Fees are exclusive of VAT and other applicable taxes. VAT is charged or reverse-charged in accordance with applicable law based on the VAT number you provide.

6.2 Plans and Billing Periods

A Plan is billed monthly or yearly in advance. Monthly Plans are paid by card. Yearly Plans are paid by card or by bank transfer against our invoice; a yearly Plan paid by bank transfer starts when the invoice is paid. A Plan renews automatically for the same billing period until cancelled in accordance with Section 11.2. A change from a monthly to a yearly Plan takes effect immediately and the difference is charged; a change from a yearly to a monthly Plan takes effect at the next renewal.

6.3 Credits

Each Plan includes the number of Credits shown in the Portal for each billing period. For yearly Plans, the Credits for the whole year are granted at the start of the year. Reading a document uses the included Credits first and purchased Credits after them. Included Credits that are not used expire at the end of the billing period for which they were granted. Credits you purchase separately do not expire while your Workspace is active. Credits have no cash value and unused Credits are not refunded when the Agreement ends, except as stated in Section 11.5.

6.4 Credit Use per Document

The number of Credits used for a document depends on its size and content, such as the number of pages, and is shown in the Portal after the document is read. You can set in the Portal the maximum number of Credits a single document may use. A document estimated to exceed that limit is stored and is not read until a User with the required permission allows it.

6.5 Insufficient Credits

If your Credit balance is insufficient and automatic top-up is disabled or fails, documents continue to be received and stored, and the actions that cost Credits, such as reading a document with AI, wait until Credits are available. Waiting documents are read automatically once Credits are added.

6.6 Automatic Top-Up

Automatic top-up is enabled by default when a Plan is paid by card, and the Portal says so when you purchase. While it is enabled, you authorise us to charge your saved payment card, without further confirmation, for the top-up amount shown in the Portal each time your Credit balance falls below the threshold shown in the Portal. You can change or disable automatic top-up in the Portal at any time. If your bank asks you to confirm a payment, the top-up is completed only after you confirm it.

6.7 Payment Processing and Payment Terms

Card payments are processed by our payment service provider. We do not store your full card details. Invoices for bank transfer are payable within ten (10) calendar days from the invoice date unless the invoice or a Service Order states otherwise. Late payments on invoices accrue contractual interest at 0.1% per day from the due date until paid in full, with a maximum of 10% of the overdue amount, unless a different rate is specified in the applicable Service Order or mandatory law provides otherwise.

6.8 Failed Payment and Suspension

If a payment fails or an invoice is overdue, documents continue to be received and stored, but reading documents with AI, automatic top-up and other usage-based actions are paused until payment is received. Our payment service provider retries a failed card payment and notifies the billing email you provided. If the payment is still not received after the retries, or an invoice is more than thirty (30) calendar days overdue, the Plan ends and we may terminate the Agreement in accordance with Section 11.3. Suspension or termination does not affect your obligation to pay outstanding amounts.

6.9 Price Changes

We may change Plan prices, Credit prices and the Credits included in a Plan upon ninety (90) days' written notice. Changes apply from your next renewal or to purchases made after the effective date and do not affect the current billing period or Credits already purchased, unless expressly agreed otherwise.

6.10 Taxes

You are responsible for all applicable taxes, duties, levies or charges arising from the Fees, except taxes based on our income. If withholding tax applies, you must gross up the payment so that we receive the full amount invoiced, unless mandatory law provides otherwise.

6.11 No Refunds

All Fees are non-refundable except as required by applicable law or as expressly stated in these Terms or the applicable Service Order. If you cancel a Plan, it remains active until the end of the current billing period and no refund is given for the remaining part of that period, including for yearly Plans.

7. Data Protection, Privacy and Security

7.1 Customer Data and Licence

You retain all rights, title and interest in and to Customer Data. We do not acquire ownership rights in Customer Data by providing the Service. You grant us a limited, non-exclusive licence to access, host, store, transmit and otherwise process Customer Data solely to the extent necessary to provide, maintain, secure and support the Service in accordance with these Terms, the applicable Service Order and applicable law.

7.2 Customer Responsibility for Customer Data

You are responsible for ensuring that you have all necessary rights, permissions and legal bases to upload, submit and process Customer Data through the Service, including documents sent to your Workspace by your suppliers and other third parties. You are responsible for the content, accuracy, legality, quality and integrity of Customer Data. We are not responsible for verifying the lawfulness, accuracy or completeness of Customer Data uploaded or submitted by you or on your behalf.

7.3 Data Protection Roles and Instructions

To the extent Customer Data includes Personal Data and we process such Personal Data on your behalf for the purpose of providing the Service, you act as controller and we act as processor, unless otherwise expressly agreed in writing. We will process such Personal Data only in accordance with these Terms, the applicable Service Order, your use of the Service, your documented lawful instructions and applicable data protection laws, including Regulation (EU) 2016/679 (GDPR). We may refuse or suspend any instruction that, in our reasonable opinion, infringes applicable law, is technically impracticable, creates security risks or falls outside the agreed scope of the Service. To the extent we process personal data for our own business purposes, including Workspace administration, billing, customer communications, service analytics, security monitoring and website operation, we act as controller. Information on such processing is provided in our Privacy Policy for transparency purposes only.

7.4 Security Measures

We will implement and maintain appropriate technical and organisational measures designed to protect Customer Data against unauthorised access, accidental or unlawful destruction, loss, alteration, disclosure or other unauthorised processing, taking into account the nature of the Service, the state of the art, the costs of implementation and the risks associated with the processing. Persons authorised to process Customer Data on our behalf will be subject to appropriate confidentiality obligations. Unless expressly agreed in a Service Order or separate security schedule, we do not commit to any specific certification, audit standard or formal security framework.

7.5 Hosting Location and International Transfers

Unless otherwise agreed in writing, Customer Data will be hosted within the European Union or the European Economic Area. We will not transfer Customer Data outside the EU/EEA unless such transfer is carried out in accordance with applicable data protection laws, including through appropriate transfer safeguards where required.

7.6 No AI Model Training Using Customer Data

We will not use Customer Data, documents uploaded by you, AI Outputs generated from Customer Data, or Personal Data contained therein to train, fine-tune or improve general-purpose artificial intelligence or machine learning models, unless you have given your prior written consent. This does not prevent us from using aggregated, anonymised or non-identifying technical and usage information to monitor, secure, maintain and improve the Service, provided that such information does not identify you, your Users, data subjects or the contents of Customer Data.

7.7 Subprocessors and Third-Party Service Providers

You grant us a general authorisation to engage subprocessors and third-party service providers, including providers of AI models, hosting, email and payment services, to the extent necessary to provide, host, maintain, secure and support the Service. The subprocessors we use are listed in our Privacy Policy. We will ensure that such subprocessors are bound by written obligations that are materially no less protective than those set out in this Section 7, to the extent applicable to the services they provide. We remain responsible for their performance to the extent required by applicable data protection laws. Where required by applicable data protection laws, we will notify you of material changes to subprocessors and allow objections on reasonable data protection grounds. If the parties cannot resolve such objection in good faith, either party may terminate the Agreement.

7.8 Personal Data Breach Notification

We will notify you without undue delay after becoming aware of a confirmed Personal Data Breach affecting Customer Data processed through the Service. Where reasonably practicable, such notification will be provided within seventy-two (72) hours after we become aware of the confirmed Personal Data Breach. The notification may be provided in phases where not all relevant information is immediately available.

7.9 Assistance, Audit and Compliance Information

Taking into account the nature of the Service and the information available to us, we will provide reasonable assistance and information to help you fulfil your obligations under applicable data protection laws in relation to Customer Data processed through the Service. Such assistance will be provided at your cost where it requires material additional work outside the standard functionality or support scope of the Service. Upon reasonable written request, and no more than once in any twelve (12) month period unless required by applicable law or following a confirmed Personal Data Breach, we will provide reasonable information necessary to demonstrate compliance with this Section 7. On-site audits, penetration testing, vulnerability scanning or access to systems, source code, logs or infrastructure require our prior written consent and may be subject to additional conditions.

7.10 Data Export During the Agreement

While your Workspace is active, you may export Customer Data using the available functionality of the Service and delete documents you no longer need.

7.11 When a Workspace Ends

A Workspace ends when a Trial ends without a Plan, when a Plan ends because it was cancelled or not paid, or when the Agreement is terminated. From that day the Workspace no longer receives new documents and no longer reads documents with AI, and for sixty (60) days you can still sign in, view and export your Customer Data. If you select a Plan during those sixty (60) days, the Workspace continues with all its data.

7.12 Deletion of Customer Data

Within thirty (30) days after the sixty (60) days set out in Section 7.11, we will delete Customer Data, including documents, extracted data, Users and settings of the Workspace. Backup copies are deleted in accordance with our standard backup cycles and remain protected in accordance with this Section 7 until then. You may ask us to delete your Workspace earlier by writing to help@finpilo.com. We keep invoices, payment and Credit records and the record of your acceptance of these Terms for as long as accounting law requires or as needed for the establishment, exercise or defence of legal claims, as set out in Section 11.7.

7.13 Liability for Data Protection

Any liability arising out of or in connection with this Section 7 is subject to the limitations and exclusions of liability set out in Section 9. Nothing in these Terms limits or excludes liability to the extent such limitation or exclusion is not permitted under applicable law, or in case of fraud, wilful misconduct or gross negligence.

8. Intellectual Property and Confidentiality

8.1 Our Intellectual Property

The Service, including all software, algorithms, models, workflows, user interface, design elements, know-how, documentation, trademarks, logos and related intellectual property, is owned by us or our licensors. You do not acquire any ownership rights in the Service by using it.

8.2 Licence to Use the Service

Subject to these Terms and the applicable Service Order, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of the Agreement.

8.3 Restrictions

Except as expressly permitted by these Terms or mandatory law, you may not copy, modify, create derivative works of, reverse engineer, decompile, disassemble, rent, lease, sublicense, resell, make available to third parties or otherwise commercially exploit the Service. You may not remove or modify proprietary notices or use the Service to develop or improve a competing product or service.

8.4 Feedback

If you provide suggestions, ideas, comments or feedback regarding the Service, we may use such feedback without restriction or obligation to you, including the right to incorporate it into the Service without compensation. Feedback does not include Customer Data.

8.5 Confidential Information

Each party must keep confidential all non-public information disclosed by or on behalf of the other party that is marked confidential or should reasonably be understood to be confidential, including Customer Data, security information, pricing agreed in a Service Order and non-public information about the Service. The receiving party may use Confidential Information only for the purpose of performing or exercising rights under the Agreement, must protect it using at least reasonable care and may disclose it only to its personnel, affiliates, professional advisers, subcontractors or subprocessors who need to know it and are subject to appropriate confidentiality obligations.

8.6 Exceptions and Legal Disclosure

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available without breach of the Agreement; (b) was known to the receiving party without confidentiality obligations before disclosure; (c) is independently developed without use of or reference to the Confidential Information; or (d) is lawfully received from a third party without confidentiality obligations. If a party is required by law, court order or governmental authority to disclose Confidential Information, it may do so to the extent required, provided that it gives the other party reasonable advance notice where legally permitted.

8.7 Survival of Confidentiality

Confidentiality obligations survive termination of the Agreement for five (5) years, except that trade secrets and Customer Data remain protected for as long as they remain confidential under applicable law.

9. Limitation of Liability

9.1 Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all express, implied and statutory warranties, including warranties relating to merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, complete security, accuracy of AI Outputs or suitability for your business processes.

9.2 Liability Cap

Our total aggregate liability arising out of or in connection with the Agreement or the Service shall not exceed the total Fees paid or payable by you to us during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the legal theory on which the claim is based.

9.3 Exclusion of Damages and AI-Related Losses

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, business interruption, cost of substitute services, loss or corruption of data, or losses resulting from your failure to review and validate AI Outputs, even if advised of the possibility of such damages. In particular, we are not liable for errors, inaccuracies, omissions or inconsistencies in AI Outputs, for documents waiting to be read because of insufficient Credits or a failed payment, or for financial, accounting, tax, payment, reporting or business losses, decisions, actions or omissions resulting from reliance on AI Outputs without appropriate validation.

9.4 Exceptions

Nothing in these Terms limits or excludes liability to the extent such limitation or exclusion is not permitted under applicable law, or in case of fraud, fraudulent misrepresentation, wilful misconduct or gross negligence.

10. Indemnification

10.1 Your Indemnification

You agree to indemnify, defend and hold harmless us, our affiliates and representatives from and against any third-party claims, damages, losses, liabilities, fines, penalties, costs and expenses, including reasonable legal fees, arising out of or relating to:

  • Customer Data, including claims that Customer Data infringes third-party rights or violates applicable law;
  • your or your Users' breach of the Agreement or use of the Service in violation of applicable law;
  • your Customer Environment, third-party systems controlled by you, or reliance on AI Outputs without appropriate review and validation.

10.2 Procedure

We will promptly notify you of any indemnifiable claim, allow you to control the defence and settlement of the claim, and provide reasonable cooperation at your expense. You may not settle a claim in a manner that admits fault on our behalf, imposes non-monetary obligations on us or affects our rights without our prior written consent.

11. Term and Termination

11.1 Term

These Terms apply from the date you accept them or first access or use the Service and continue for as long as you have an active Trial, Plan or Service Order or otherwise use the Service, and afterwards until your Customer Data is deleted in accordance with Section 7.12.

11.2 Cancellation by Customer

You may cancel a Plan in the Portal at any time. Cancellation takes effect at the end of the current billing period. Termination of a Service Order follows the terms of that Service Order or, if it specifies none, takes effect at the end of the current billing period, provided that you have given at least thirty (30) days' written notice. You remain liable for all Fees incurred through the effective date of termination.

11.3 Termination by Finpilo for Non-Payment

If payment is more than thirty (30) calendar days overdue, we may terminate the Agreement upon written notice.

11.4 Termination for Cause

Either party may terminate the Agreement upon written notice if the other party materially breaches the Agreement and fails to cure the breach within ten (10) calendar days after receiving written notice describing the breach. We may terminate immediately upon written notice if you or your Users violate the prohibited use provisions, use the Service in a manner that harms our systems or other customers, engage in fraudulent or illegal activity, or create material security, legal or operational risks.

11.5 Termination for Convenience by Finpilo

Unless the applicable Service Order states otherwise, we may terminate the Agreement for convenience by providing thirty (30) days' written notice. If we do so before the end of a prepaid billing period, we will refund the prepaid Plan Fees for the unused part of that period and any purchased Credits that have not been used.

11.6 Effect of Termination

Upon termination or expiry of the Agreement: (a) the Workspace ends as described in Section 7.11; (b) all unpaid Fees become immediately due and payable; (c) you remain liable for all charges incurred through the effective date of termination; and (d) export and deletion of Customer Data are handled in accordance with Sections 7.11 and 7.12.

11.7 Retention for Legal Claims and Records

We may retain Workspace records, invoices, payment, usage and Credit records, the record of your acceptance of these Terms and other information reasonably necessary to meet legal obligations, including accounting obligations, or to establish, exercise or defend legal claims. This does not affect our obligation to delete Customer Data in accordance with Section 7.12, unless retention is required by applicable law or necessary for legal claims.

11.8 Survival

Sections 6, 7, 8, 9, 10, 11.6, 11.7 and 12 survive termination or expiry of the Agreement, together with any other provisions that by their nature are intended to survive.

12. General Provisions

12.1 Governing Law

These Terms and the Agreement are governed by the laws of the Republic of Latvia, without regard to conflict of law rules.

12.2 Dispute Resolution

Any disputes arising out of or relating to these Terms, the applicable Service Order or the Service shall be resolved by the courts of Riga, Latvia. We may seek injunctive, interim or protective relief in any court of competent jurisdiction.

12.3 Amendments to these Terms

We may update these Terms from time to time. We will provide you with at least thirty (30) days' prior written notice of changes that materially affect your rights or obligations, by email and in the Portal. The updated Terms will apply from the effective date specified in the notice, unless you notify us in writing before such effective date that you reasonably object to the changes due to a material adverse effect on your use of the Service or legal position. If you object, the parties will discuss the objection in good faith. If the parties do not agree on a solution within thirty (30) days, either party may terminate the Agreement by giving thirty (30) days' written notice. Changes required by applicable law, security reasons, third-party provider requirements or urgent operational reasons may take effect earlier, provided that we give you reasonable notice where practicable. We may ask you to accept the updated Terms in the Portal. Every version of these Terms remains available on our website.

12.4 Assignment

Neither party may assign or transfer the Agreement or any rights or obligations under it without the other party's prior written consent, which must not be unreasonably withheld, delayed or conditioned. Either party may assign or transfer the Agreement without prior consent to an affiliate or in connection with a merger, acquisition, corporate reorganisation, sale of substantially all assets or transfer of the relevant business or Service, provided that the assignment does not materially reduce the other party's rights under the Agreement and the assigning party gives reasonable notice where practicable.

12.5 Entire Agreement and Order of Precedence

The Agreement constitutes the entire agreement between you and us regarding the Service and supersedes all prior agreements and understandings regarding the Service. If there is any inconsistency between these Terms and a Service Order, the Service Order prevails, but only to the extent of that inconsistency. Unless expressly amended by the Service Order, these Terms remain fully applicable. Terms on purchase orders or other documents issued by you do not apply. Our Privacy Policy is provided for transparency purposes only and does not form part of the Agreement or amend the parties' contractual rights or obligations.

12.6 Severability

If any provision of the Agreement is held invalid, illegal or unenforceable, the remaining provisions remain in full force and effect. The invalid, illegal or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid, legal and enforceable while preserving the parties' original intent as closely as possible.

12.7 Waiver

No failure or delay by either party in exercising any right or remedy under the Agreement operates as a waiver of that right or remedy. A waiver must be in writing and applies only to the specific instance for which it is given.

12.8 Force Majeure

Neither party is liable for failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, governmental actions, power failures, internet or telecommunications failures, cloud provider or AI model provider outages, cyberattacks not caused by the affected party's failure to maintain reasonable security measures, or other events beyond reasonable control.

12.9 Notices

All notices under the Agreement must be in writing and sent by email, through the Portal or to the postal or email addresses specified in the applicable Service Order. We send notices to the email addresses of the owners of your Workspace and to the billing email you provided. Notices to us may be sent to: DIGITAL TRANSFORMATION SIA, Ropažu iela 14 k-1-21, Riga, LV-1039, Latvia, email: help@finpilo.com. Notices are deemed received when delivered, or if sent by email, on the next business day after sending unless the sender receives an automated delivery failure notice.

12.10 Electronic Acceptance, Signature and Counterparts

Acceptance of these Terms in the Portal is binding in the same way as a signed document. We keep a record of the acceptance, including the User, the Workspace, the version of these Terms, the time and the IP address. A Service Order may be signed electronically, including by qualified electronic signature, and in counterparts. Each signed counterpart forms part of the same document.

12.11 Language
